WELL, THERE'S ONLY ONLY ONE PERSON HERE, .

SO IF YOU'RE NOT GONNA, ALRIGHT.

IF THERE ARE NO FURTHER NOMINATIONS, DO WE, I MOVE.

WE CEASE NOMINATIONS.

ANY FURTHER? MOTIONS? WE CEASE NOMINATIONS.

SECOND.

SECOND BY, UH, MAYOR SHIFFLETT.

ANY FURTHER DISCUSSION? ALL IN FAVOR? AYE.

ALRIGHT.

CONSIDERATION AND POSSIBLE ACTION TO NOMINATE AND ELECT A VICE PRESIDENT FOR THE 2024.

2026 TERM.

I'M NOT SURE I EVEN KNEW WE HAD A VICE PRESIDENT.

FRANCIS, YOU'VE BEEN NAILING IT.

I, UH, .

CONGRATULATIONS.

I, UH, WOULD LIKE TO NOMINATE KENNY BURNER.

I NOMINATE FRANCIS.

YOU DON'T NEED A SECOND FOR NOMINATIONS.

GO AHEAD.

BUT YOU NEED A SECOND TO CLOSE THE FLOOR, RIGHT? AND I MOVE, WE CEASE NOMINATIONS.

THIS WILL BE INTERESTING.

ALRIGHT, I'LL SECOND THAT WE SEE SOME NOMINATIONS AND NOW WE WILL PUT IT TO A VOTE.

UH, MAYOR SHIFFLETT .

WELL, WE'RE, WE'LL GO LINE BY LINE I GUESS.

HOW ELSE YOU WANT OR YOU GONNA DO? SHOW OF HANDS.

ALL RIGHT.

ALL IN FAVOR OF FRANCIS JUAN FOR, UH, VICE PRESIDENT.

VICE PRESIDENT .

ALL IN FAVOR? KENNY BURN.

DICK DANIEL, THAT LOOKS LIKE IT IS FRANCIS.

CONGRATULATIONS.

MM-HMM.

.

THANK Y'ALL.

CHAIR.

I COULD SEE A TIE.

WE WERE IN TROUBLE.

ALRIGHT.

HAVE SOMEBODY.

YEAH, THAT'S KIND OF A MESS.

THAT'S WHY I WAS LAUGHING.

WHEN YOU LOOK AROUND, YOU GOT FOUR PEOPLE VOTING.

IT'S KIND OF A GOOD DEAL, ISN'T IT? YEAH.

ALRIGHT.

CONSIDERATION AND POSSIBLE ACTION TO APPROVE THE PRESENTATION OF THE 2022 TO 2023 ANNUAL EDC REPORT BY THE ECONOMIC DEVELOPMENT DIRECTOR, A CITY MANAGER.

I'LL SAY THAT'S ANOTHER HAT YOU HAVE, HUH? YES.

YES.

IT'S, UH, DO YOU HAVE A NOTHING WRONG? WELL, PART OF HIS SALARY GOES IN HERE.

THERE WE GO.

ARE WE GONNA DO IT'S RIGHT.

WRAP, BUT WE DECIDED NOT TO.

THE NEXT SLIDE, PLEASE.

UH, FIRST WE TALK ABOUT YEAR REVIEW FINANCIALLY AND WHERE WE'RE GOING.

UH, SO YEAR INTERVIEW, THE MAJOR PROJECT WE NEED GET A WHOLE LOT DONE.

I THAT WE GOT A FEW KEY THINGS DONE.

UH, WE WERE ABLE TO RETIRE IN AGREEMENT, WHICH, UH, FREES UP A SIGNIFICANT AMOUNT OF ACT FLOW FOR US.

UH, WE WERE ALSO ABLE TO NEGOTIATE THE THIRD CREATED AGREEMENT WITH HAN DAN, UH, FOR THE RENOVATION OF THE PROPERTY AT 800 DIXIE.

UH, SO IT'S THE 8 8 28 0 2, AND THEN 8 0 1 THROUGH 8 36.

I THINK WE'LL GET SO MANY ADDRESSES THERE.

I'LL TALK ABOUT AT A START CHANGING ADDRESS BECAUSE IT'S GOTTEN BE VERY, VERY CONFUSING.

UH, ESPECIALLY WHEN YOU HAVE TWO 800 NEW, OH MY GOD.

UM, ONE, ONE, THE ONE AT THE OTHER ROAD.

SO,

[00:05:01]

UH, BUT WE DID GET THAT DONE.

THAT'LL BE A 50 50 GRANT, 50 YEAR OR FIVE YEARS.

A BIG PERCENT SALES TAX INCREASE SPLIT.

SO ALL THE NEW, UH, THE, YOU SEE THE SIGN THERE, THE NEW SIGN THAT WE ALSO, UH, WORKED WITH ON THE SALE SHOP, THE SEARCH SHOP.

AND I'LL SAY THAT THAT BIG SHOP STAYS BUSY 24 7.

UM, SO WE'RE EXPECTING A MUCH LARGER SALES TAX VOLUME OFF THAT'VE PREVIOUSLY WE'LL SPLIT THAT OVER THE NEXT FIVE YEARS TO HELP HIS INVESTMENT IN IMPROVING THE, UH, THE EXTERNAL AND INTERNALS ON THAT BUILDING.

UH, AS WELL AS SOME OTHER CHANGES TO HIS OTHER PROPERTIES FURTHER DOWN.

D UH, THAT AT DECIDED GAS LAST.

WE HAVE THE, THE SIGNAGE GRANT.

WE HAD APPLICATIONS FOR OTHER SIGNAGE GRANTS, UH, BUT THEY FAILED TO PRESENT THEIR CLAIMS AND GET THEIR QUOTES IN TIMELY.

SO THEY'LL, BEFORE I HAD HAVE A FUN CONVERSATION WITH DYLAN A COUPLE WEEKS AGO ABOUT THAT.

UH, AND THEN ARE OTHER PROJECTS THAT, UH, EC WAS INVOLVED WITH, OBVIOUSLY.

CAN I ASK WHO THAT, WHO THOSE ARE? WHO'S HOME BE SUBMITTING? I DID.

WHO'S, WHO HAD THEM? WHO WILL BE, UH, WELL, WE WE'RE GONNA TALK ABOUT SIGN GRANTS GOING FORWARD, UH, AND SOME CHANGES TO THE PROGRAM, UH, THAT WAS REQUESTED LAST TIME.

I DON'T REMEMBER THE SPECIFIC APPLICANTS WHO FAILED TO GET THEIR STUFF IN ON TIME OR GET THEIR MATERIAL BACK ON TIME.

UH, I, WELL, I WANT TO TALK TO HART'S CHICKEN.

I'M JUST WONDERING IF THEY, IF THEY'VE SUBMITTED ANYTHING, IF THEY HADN'T.

I WANT TALK TO HAVE NOT.

THEY HAVE NOT.

OKAY.

THAT'S ALL I WANT TO KNOW.

YEAH.

AND UM, SO THAT'S, YEAH, I CAN KIND OF TALK ABOUT 1 0 1 PROCESS SUPPORT EVERYTHING THAT'S HAPPENING IN THAT AREA, UM, WHEN I TALK ABOUT GOING FORWARD.

UM, SO, UH, THIS BEEN CENTER PROJECT, WE'RE GONNA TALK ABOUT BRINGING THAT PLAN TO FRUITION, UH, ALSO IN A LITTLE WHILE AFTER THE EXECUTIVE SESSION ITEM.

UM, AND THEN, UH, OBVIOUSLY THE PROPERTY PURCHASE THERE AT THE CORNER OF, UH, WHAT MAY OR MAY NOT BE LIBERTY DRIVE COMING THROUGH TO, UH, PLANTATION BEFORE THE, THE DITCH PIZZA AT MOUNT.

UH, THAT'S THE OLD FOOD STAMP FACILITY, UH, FIRE DEPARTMENT.

WE'VE BEEN USING THE HOUSE FOR TRAINING WITH THE FIRE DEPARTMENT AND WITH THE, UH, VARIOUS POLICE AGENCIES.

UH, THEY DID FIND SOME CASH OF COIN IN THE WALL.

YOU FOUND SOME WHAT COIN FROM 1964 TO 1979.

HALF DOLLARS.

I COULD FIND THAT IN MY POCKET.

.

THIS IS LIKE A, LIKE A, LIKE A BOX PIRATE BOOT.

YEAH, A PRINT BOX FULL OF POINTS.

SO WE'RE GONNA, WE'RE TALKING TO TWO DIFFERENT AREA.

THIS NEW PEOPLE COLLECT VALUE POINTS, UH, TO KIND OF SEE IF THERE'S ANYTHING OF VALUE ABOVE WHAT THE FACE VALUE SAYS.

IT'S SO, UH, SO THAT WAS KIND OF EXCITING.

UH, ANY QUESTIONS ABOUT WHAT WE DID THIS PAST YEAR, YEAR REVIEW? I TALK ABOUT THE YEAR, I'M TALKING ABOUT FISCAL YEAR, NOT THE ACTUAL YEAR.

PROJECT 1 0 1 FOR, IF WE ASK Y'ALL PARTICIPATION BACK IN DECEMBER, IT WON'T BE LISTED UNTIL NEXT YEAR.

IS THAT COMING UP LATER? UH, NO.

THAT WILL BE LATER TONIGHT.

HMM.

THAT ONE MODULE LATER TONIGHT.

OKAY.

YEAH.

WE, WE'VE KNOCK THAT ONE OUT.

SO, UH, LOOKING AT, THIS IS THE BUDGET AS WAS.

UM, AND IF YOU'LL NOTE THAT LINE, UH, THE 20 20 20 23 BUDGET, WE DIDN'T FIGURE WE WERE GONNA CLOSE THE YEAR OUT A NEGATIVE, UH, 9 94, UH, THAT THE BASIS FOR THAT RATIONAL BEHIND THAT WE, WE PAYING OFF, UH, UH, INSTEAD WE, WE PAID THAT OFF.

BUT THE GENERAL FUND HASN'T BEEN REIMBURSED FOR THAT YET.

AND SO WE DISCOVERED THAT THE COURSE OF THE AUDIT, WE MAKING THAT ADJUSTMENT GOING FORWARD.

SO WHERE YOU SEE THIS NET POSITIVE OF 3 77 ON THE NEXT SLIDE, I'M SORRY THAT I HAVE HIGHLIGHTED.

UH, WE WERE UNDER EXPENDITURE BECAUSE WE DID NOT TRANSFER THOSE FUNDS OVER.

WE'LL BE TAKING CARE OF THAT THOUGH, A BUDGET ADJUSTMENT IN THIS COMING YEAR.

SO DON'T THE ORIGINAL.

DON'T GET EXCITED.

DON'T GET EXCITED.

WE DID SPEND DOWN THE GOOD NEWS IS, IS LIKE I SAID, THAT FREES UP ALL OF THE SALES TAX, ALL PROPERTY TAX OFF THAT PROPERTY AND WE WERE ACTUALLY GUTTING OURSELVES TO SAVE UP AND MAKE THAT RIGHT AND MAY HAVE SAVED A LITTLE INTEREST, BUT I DON'T THINK SO.

IS THAT EVERYTHING TO DO WITH KROGER AND WOOD SHORE? NO.

THAT'S EVERYTHING TO DO WITH JUST KROGER SHORE STILL HAS ONE OUTSTANDING CREATIVE AGREEMENT.

UH, I THINK THE TOTAL AMOUNT ON THAT IS NOT MORE THAN 90.

SO, UM, AND THAT TIES INTO THE ONGOING ISSUES WE HAVE BACK THEM.

STARTED KIND OF TALKED ABOUT THAT.

SO SEEN HARD'S JUST CLUSTER, UH, BETTER.

[00:10:01]

UH, BUT WE ARE STILL IN VERY GOOD STANDING.

THE NEXT SLIDE, THIS IS THE, UH, THE AUDIT, UH, NUMBERS FOR THE YEAR.

WE CAN FINISH FOUR AND HALF, FOUR AND HALF NOW THAT WILL BE ADJUSTED SLIGHTLY BY ABOUT 800,000, BUT WE'RE STILL WELL WITHIN FUND.

UH, VERY HELPFUL LAST YEAR.

WE EXPECT THAT TO CONTINUE OUR SALES TAX NUMBERS FOR THE NEXT SLIDE.

PROJECTED LOWER LAST YEAR, UH, WE DID SEE A TAIL OFF, A SIGNIFICANT TAIL OFF AS FOLKS STOPPED USING AMAZON AND STARTED GOING BACK INTO THE STORES, UH, IN LAKE JACKSON.

THEIR SALES TAX WENT UP, OURS WENT DOWN.

AND THAT WAS BECAUSE EVERYBODY STOPPED SHOPPING ON AMAZON AND WALMART COM AND STARTED GOING BACK THE STORES.

SO, UH, THE BOOST THAT WE'RE GONNA GET FROM KFC AND SOME OF THE OTHER COMMERCIAL DEVELOPMENT UPCOMING IS HUGE.

UH, I ALWAYS GET IN TROUBLE WITH THE CHANGE WHEN I SAY SHOP ONLINE, BUT SHOP ONLINE BECAUSE IF THOSE POINT OF SALE, IT'S NOT POINT OF SALE ANYMORE.

IT'S POINT OF DELIVERY.

SO IF YOU BUY SOMETHING ON AMAZON OR, OR WHATEVER IT DELIVER TO THE HOUSE THAT'S TAX DOLLAR COMPLETE, IT DOESN'T GO TO WHERE IT CAME FROM.

SO THAT'S BEEN A BIG DEAL FOR US.

IT WAS A REALLY SIGNIFICANT GAIN.

YOU CAN SEE DURING THE PANDEMIC 20 20, 20 21, 20 22, WE, THOSE PEAK AND THAT WAS BUYING ONLINE, BACK, AMAZON, AND, AND, UH, AND ALL THOSE THINGS.

THOSE NUMBERS CAN JUST TRAIL.

WHY IS THAT WHY I THINK FOLKS TIRED OF SHOPPING, COMFORT, GET OUT TOUCH AND THAT REASON ON THEY TO THE WELL, WE, WE TRY TO HELP THAT OUT ALMOST ON A DAILY BASIS AT OUR HOUSE.

IF IT'S NOT ME, IT'S HIM.

, WE TAKE TURNS.

I HATE THE SCORE, SO YEAH, I DO TOO.

I HATE IT.

I LIKE TO GO TO IF IT'S SHOES, BUT LIKE GUN PARKS ALSO STUFF THAT I LIKE TO STUFF.

ANY QUESTIONS ABOUT FINANCIAL? SO LET'S TALK ABOUT WHERE WE'RE GOING NEXT SLIDE PLEASE.

AND, UH, WE'RE GONNA BE ASKING YOU GUYS IN JUST A FEW MINUTES TO START WITH THE BALL ROLLING ON THE CENTERS IMPLEMENTATION PROJECTS.

UH, WE'VE BEEN, UH, SUCCESSFUL IN NEGOTIATING THE LAND TRANSACTION THAT WE'RE GONNA SCALE IN.

OBVIOUSLY, UH, KFC IS THE BIG NEWS, BUT WE'VE GOT A BUNCH OF SMALL FILLER STORES, UH, THAT ARE ALSO COMING TO FOOD.

UH, JULIA'S DONUTS WILL BE OPENING A LOCATION ACROSS THE STREET NEXT DOOR TO RED TOP.

WOOHOO, HOPEFULLY THEY GET THEIR INITIAL CEO WE'LL WAIT ON THEM TO GET THE PLUMBING FIXED AND THEN THEY'LL BE READY TO ROCK.

OH MY, WHAT, WHAT BUILDING ARE THEY GOING INTO? INTO THE LITTLE STRIP.

RIGHT THERE.

YEAH, LITTLE STRIP RIGHT HERE.

UM, SHE'S KIND OF IRONIC BECAUSE WE TOLD THEM, HEY, FOLKS ARE GONNA WANNA OPEN IT THAT WAY.

AND THEY'RE LIKE, OH, YOU KNOW, IT WON'T, IT'S NOT GONNA HAPPEN.

IT'S HAPPENING.

AND SO, UH, EVERYBODY'S SEEN HOW WELL ESPRESSO HAS DONE.

THEY'VE SEEN HOW WELL THE CITY PRESS IS DOING AND BEEN THE ACTION.

SO, UH, WE FEEL LIKE THERE'S GOOD ENERGY DOWNTOWN AND WE FEEL LIKE NOW'S THE TIME TO START LOOKING AT DOWNTOWN AND DEVELOPING.

SO WE'RE VERY EXCITED ABOUT THAT.

UH, AND THE INFRASTRUCTURE SUPPORT, AS I STATED, UH, ONE , WE DID OUR FIRST LITTLE FORAY INTO, UH, I GUESS A NON-CREATIVE RELATED, UH, INFRASTRUCTURE PROJECT TO HELP GET OPED CENTERS AND ROAD START GET OPEN.

UM, WE HAVE 1, 2, 3 NEW SUBDIVISION SECTION, ONE NEW SUBDIVISION AND THEN TWO EXPANSIONS, UH, GETTING READY TO COME UP THAT I KNOW ARE GONNA ASK FOR, FOR ONE OF 'EM IS GONNA ASK FOR THREE.

AND I KNOW PROBABLY AS WELL BOTH HAVE, UH, THEIR FINAL CLOSEOUTS.

UH, MR. KURT IS ACTUALLY MAYBE GOING SOUTH OF , NORTH OF CREEK DRIVE AND HE THINKS HE CAN YIELD 32 LOTS THERE.

I DON'T THINK WE'RE GONNA GET THAT LOTS.

WE'RE GONNA PROBABLY 24 LOTS, HUGE US.

UH, AND THEN AT THE END OF TURNER DRIVE, UH, WE'VE BEEN TALKING ABOUT THE SMALL DEVELOPER THERE.

HE THINK HE CAN GET 12 PLUS IN THERE.

UH, AND WE MADE ASSURANCE THAT HE'S GONNA CARRY A TURNER, IMPROVE TURNER AND CARRY UP NORTH.

SO AT SOME POINT WHEN THINGS GET READY TO POP OFF IN LAKE CARRY, WE CAN CONNECT IN AND THERE.

SO PRETTY ABOUT THAT.

UM, AND THEN MR. KANAKA HAS HIS FINAL SECTION, UH, WHICH BE EVIDENCE THE, WAS THAT GONNA BE HIGHER END FOR THE SITUATION THERE WAS THAT, THAT WHAT I'M THINKING.

SO THE DATA IS ACTUALLY GONNA BE A, UH, TOWN HOME PRODUCT.

UH, BE TWO AND A HALF THREE TOWN HOME SECTION, UH, LINES JUST TO CRAM IN VALUE

[00:15:01]

VIN CITY, BECAUSE THAT'S QUITE FRANKLY ON THE MARKET AND LOT OF PLACES AROUND HOUSTON AREA, UM, GOING FORWARD.

IN ADDITION TO THAT, WE'VE GOT MADE A, UH, UNSUCCESSFUL RUN FOR SOME BUSINESS, UH, AT THE CORNER OF COLLEGE PARK THERE.

UH, AND THAT COMMERCIAL PARTNERSHIP CLEARED, UH, WE'RE GONNA MAKE ANOTHER RUN.

WE, WE TALKED FRIDAY WITH A POTENTIAL RESTAURANT HERE AND I'VE GONNA TALK WITH MR. KIRK ABOUT TRYING TO FIGURE OUT A WAY TO GET HIS VISION AND HIS RESTAURANT SERVICE'S VISION MARRIED UP IN A WAY THAT MAKES FINANCIAL SENSE AND WILL WORK.

AND, UH, GREAT IDEAS AND GREAT IDEAS ARE GREAT.

WE'VE GOTTA HAVE THE FINANCIAL WHEREWITHAL, SO WE'RE TRYING MAKE THAT HAPPEN RIGHT NOW.

AND THEN, UH, I DON'T WANNA SAY IT TOO LOUD, SO I'M GONNA WHISPER IT, BUT SO, UH, AT THAT SIDE COMMERCIAL TRACK.

SO I, AT THIS POINT, SO THAT'S, THAT IS IT FOR THE EDC REPORT? YES, SIR.

ALRIGHT.

DO I HAVE A MOTION TO APPROVE THE PRESENTATION? I MOVED MOTION BY FRANCIS VAUGHN A SECOND.

I DON'T THINK, DO WE NEED IT MOTION? I DON'T THINK WE NEED IT TO APPROVE.

SAYS WE NEEDED TO APPROVE THE PRESENTATION.

OH, WELL IT DOES.

SECONDED BY MAYOR SHIFFLETT.

ANY DISCUSSION? ALL IN FAVOR? AYE.

AYE.

JUST IN CASE.

ALRIGHT.

MAKE SURE ALL CONSIDERATION AND POSSIBLE ACTION TO AMEND SLASH UPDATE TO EDC BYLAWS WITH A RECOMMENDATION TO CITY COUNCIL FOR APPROVAL OF THE AMENDED BYLAWS.

AND THE CHANGES THAT WE, UH, ARE PROPOSING, UH, ARE CHANGE A SPECIFIED DATE IN THERE.

WE FEEL LIKE WE JUST STAY BECAUSE AS WE KNOW, GETTING A FORM SOMETIMES BE DIFFICULT, ESPECIALLY THIS TIME OF YEAR WHERE SPRING BREAK AND, UH, OTHER THINGS.

SO WE WOULD STILL HOLD THE ANNUAL MEETING IN MARCH, BUT WE GIVE OURSELVES, CURRENTLY IT SAYS IT HAPPENED THE SECOND TO SECOND THURSDAY OF THE MONTH OF MARCH.

UH, AND SO THAT WOULD, WE WOULD MEET IN MARCH.

IT JUST WILL NECESSARILY BE THE SECOND TUESDAY OR SECOND THURSDAY.

OKAY.

OH, THERE YOU GO.

HIGHLIGHTING IN THE CHARTER.

THAT'S IN THE CHARTER.

SO IT HAS TO BE THE SECOND TUESDAY.

SO THIS WAS THE ONLY THING THAT SAID IT HAD TO BE THAT.

AND SO WE'RE SAYING THAT IF WE'RE JUST GONNA CHANGE THAT AND IT'S GONNA BE GIVEN UP THE MARCH MM-HMM.

NOT PART OF OUR APPLICATION.

NO.

CORRECT.

UH, AND THEN THERE WAS SOME VERNACULAR CHANGES, UH, REFERENCES.

THANK YOU.

UH, IN SECTION 2 0 6, UH, WE WERE THE CURRENT BYLAW STATE THAT PRESIDENT HAD NOTICE, NOTICE EACH DIRECTOR PERSONALLY OR BY MAIL OR BY FAX, I DUNNO, WHO HAS A FAX MACHINE IN OUR HOUSE STILL.

UM, BUT, UH, SO WE ADDED THE ONE BY EMAIL.

UM, AND THEN IN SECTION 4.01, UH, JUST CLEAN UP AGAIN SOME OF THE LANGUAGE, UH, TALKING ABOUT, UH, RIGHT NOW IT REFERS TO THE CITY SECRETARY, WHICH IS ACTUALLY MY POSITION, UM, THAT THE CITY SECRETARY OF CITY MANAGER IS DUKE THE NAME IN THE CHARTER.

AND SO THIS SEPARATE OUT AND NOTIFY THAT THE CITY CLERK, WHICH IS PROCEED, WOULD HANDLE THE SECRET DUTIES.

AND THEN THE CITY MANAGER, THE CITY DIRECTOR FINANCE, UH, WOULD HANDLE DUTIES.

I WANTED TO PUT LANGUAGE IN A HANDSHAKE, BUT THAT NOT OFFICIAL.

SO WHAT THE NEXT ONE? THE TATTOO.

OH, WE CAN DO A TATTOO.

AND OFFICIALLY WE'RE JUST GONNA COPY KENNY'S TATTOO FOR THAT.

ALL RIGHT.

ANY, SO, ALRIGHT.

DO I HAVE A MOTION TO APPROVE THE AMENDED BYLAWS? SO MOVED.

SO MOVED BY KENNY VERNARD.

I SECOND, I'LL SECOND.

SECOND.

MEMBER FRANCIS BOND.

ANY FURTHER DISCUSSION OF THE BYLAWS? ALL IN FAVOR? AYE.

AYE.

WE'RE ACTUALLY APPROVING EDC RESOLUTION NUMBER OH 1 20 24, CORRECT? THAT'S CORRECT, YES.

SO THE BYLAWS ARE ATTACHMENT TO THE RESOLUTION.

YOU HIT A RESOLUTION.

OH, YES.

OH, OKAY.

SO I GUESS THAT MEANS NEED TO READ, SET RESOLUTION.

I THINK YOU'RE, I'LL DE FIRST TO THE, AT LEAST THE CAPTION.

PROBABLY, YEAH.

OKAY.

[00:20:01]

SO, EDC, RESOLUTION NUMBER ZERO ONE DASH 2024.

A RESOLUTION OF THE KLU ECONOMIC DEVELOPMENT CORPORATION CONTAINING A PREAMBLE, ADMITTING THE BYLAWS GOVERNING THE CORPORATION, MAKING FINDINGS OF FACT AND RECOMMENDING PRESENTATION TO THE KLU CITY COUNCIL FOR APPROVAL.

OKAY.

SO DID WE, DID WE VOTE? YOU WANT ME TO AMEND MY MOTION COURT? I AMEND THE MOTION TO APPROVE THE LANGUAGE.

JUST READ.

ALRIGHT, ANY FURTHER DISCUSSION? SECOND.

OH, OH, I'LL SECOND.

RE SECOND THE, I'M SORRY.

HEAR.

OKAY.

SECOND BY FRANCIS VAUGHN.

ANY FURTHER DISCUSSION FOR THIS RESOLUTION? I ALL IN FAVOR? AYE.

AYE.

THANK YOU.

ALL RIGHT.

ITEM E CONSIDERATION AND POSSIBLE ACTION TO MAKE CATEGORY GUIDELINES AND REQUIREMENT CHANGES TO THE CURRENT EDC SPECIAL, SPECIAL ASSISTANCE GRANT PROGRAMS. THIS IS, UH, THE, UH, OUT THAT, THAT CAME OUT THE LAST TIME WE MET BACK IN DECEMBER.

DOES IT, IS DOES IT STILL HAVE CHARGE? YEP.

THERE YOU GO.

CAN YOU HEAR ME NOW? UH, THIS WOULD APPLY, THIS BASICALLY, UH, WOULD CREATE SOME DIFFERENT CATEGORIES, UH, WITHIN THE GRANT APPLICATION PROGRAMS. ALSO CLARIFY WHAT THE, I GUESS WHAT WOULD CONSTITUTE AN OBJECTIVE SCORING PROGRAM.

SO, 'CAUSE RIGHT NOW WHEN WE GET AN APPLICATION, WE HAVE A KNEE JERK REACTION TO GO AHEAD AND AUTOMATICALLY APPROVE THAT, UH, BECAUSE THERE'S NO REAL BASIS FOR NOT APPROVING.

AND SO WHAT WE'VE DONE IS WE'VE SET UP A SCORING CRITERIA FOR EACH INDEPENDENT GRANT PROGRAM, UH, AND THEN CHANGED, MODIFY THE APPLICATION TO FOLLOW.

I, UH, I DO WANT TO, DR.

ALIS IS NOT HERE, BUT HE'D BE THRILLED TO KNOW THAT WE USE CHAT GPT FOR SOME OF THIS .

WE FETED A BUNCH OF GRANT GUIDELINES FROM OTHER COMMUNITIES AND THEN HAD THAT BUILT IN AND THEN WE HAD IT DEVELOP AN ALGORITHM FOR US.

UH, SO IT'S BEEN A LOT OF FUN GETTING TO KNOW THAT AND PLAY WITH IT.

AND THEN I CAME BACK THROUGH AND CLEANED UP A BUNCH OF STUFF, UH, THAT WE WANTED TO, SOME STUFF WE WANTED TO KEEP, SOME STUFF WE WANTED TO GET RID OF.

BUT BASICALLY IN GOING AS WE GET INTO BUDGET SEASON, WE'LL TALK ABOUT CHANGING THE NUMBERS AND MAYBE CREATING TWO DIVISIONS, UH, WITHIN THIS GRANT.

UH, BUT THE CURRENT, UH, MAKEUP OR THE CURRENT REVISIONS WOULD INCLUDE, UH, SOME BONUS POINTS, UH, BASE POINTS FOR ARE THEY A NEW BUSINESS COMING TO CLUT OR HAVE THEY BEEN HERE FOR MORE THAN FIVE YEARS AND FULLY VESTED IN THE CITY? UH, THAT WOULD GIVE YOU, YOU COULD SCORE THAT ONE WAY.

UH, ARE YOU GONNA USE MATERIALS? BECAUSE RIGHT NOW, IF YOU RECALL, THE STATE TOOK AWAY OUR ABILITY TO GOVERN.

PREVIOUSLY WE HAD A MASONRY ORDINANCE.

THIS WOULD GIVE YOU A BONUS IF YOU'RE GONNA USE MATERIALS THAT ARE GONNA LAST MORE THAN 30 YEARS.

SO IT ENHANCES THE LONG-TERM VALUE OF THE CITY, UH, BASED ON INDUSTRY STANDARD.

UH, ARE YOU GONNA USE SOMETHING THAT IS GONNA CREATE A BETTER LOOKING ENVIRONMENT THAT MATCHES WHAT WE MAYBE HAVE OR STANDS APART IN ANOTHER WAY THAT IS MORE ENERGY EFFICIENT? AND THEN MOST IMPORTANTLY, ONE OF THE BIG PROBLEMS THAT WE HAVE, AND IT'S NOT REALLY A PROBLEM THAT WE HAVE, IT'S A PROBLEM THAT WE HAVE FOISTED ON US, IS THE NEED TO STORE WATER, STACK WATER.

AND SO WHAT WE WOULD DO IS GIVE BONUS POINTS HERE.

IF THEY'RE GONNA DO SOMETHING LIKE PUT IN A BIO SWELL IN THE PARKING LOT AS OPPOSED TO HAVE ONSITE DETENTION TO SLOW THE WATER THAT AS IT COMES OUT AND COMES IN.

UM, WE TRIED TO DO THAT WITH OLLIE'S.

THEY DIDN'T WANNA PARTICIPATE.

BUT I THINK IF WE PUT THE CARROT OUT THERE AND SAY, HEY, WE'RE GONNA GIVE YOU BONUS POINTS TOWARDS YOUR APPLICATION IF YOU'LL JUST DO THIS, PUT A, CUT SOME OF THE CONCRETE OUT, PUT PLANTS IN THERE SO IT CATCHES AND HOLDS THAT WATER A LITTLE BIT LONGER BEFORE IT RUNS ACROSS.

UH, I THINK THOSE ARE THINGS THAT WE CAN DO.

UH, IS THAT THE CITY WANTING THAT? YES.

REQUIREMENTS? WELL, WHAT WE WANT IS BASICALLY WE WANNA SLOW THE WATER.

WE DON'T WANNA HAVE, WE, THE LAST THING WE WANNA SEE IS MORE DETENTION.

AND SO WHAT WE WANT ARE THINGS THAT ARE GOING TO ENHANCE THE APPEAL OF THE PROPERTY.

I MEAN, I WOULD, AND I DON'T KNOW WHAT, WHETHER YOU'VE EVER SEEN A BIO SWELL OR NOT, BUT BASICALLY IT'S LIKE A LITTLE DITCH.

LIKE NOW YOU'VE GOT THAT CONCRETE DITCH THAT RUNS THROUGH THE MIDDLE OF THE OLLIE'S PARKING LOT, CATCHES WATER, AND IT SPEEDS IT STRAIGHT UP TO PLANTATION WHERE IT STOPS AND STACKS BECAUSE IT HAS NO PLACE TO GO BECAUSE WE HAVEN'T, WE'VE GOTTA REDO THE PLUMBING AS IT WERE TO GET TO PIN MUDDY DITCH.

BUT IF YOU HAD A BIO SWELL IN THERE, YOU'VE GOT THE WATER THAT RUNS AND THEN IT BASICALLY PERCOLATES THROUGH THE GROUND BEFORE IT EVER GETS TO THE DITCH.

AND IT FEEDS THE PLANTS THAT ARE IN THAT SWELL.

AND IT'S ABOUT EIGHT, YOU KNOW, SIX FOOT WIDE.

YOU'VE ALREADY GOT A, YOU'VE ALREADY GOT A DITCH THERE.

YOU MIGHT LOSE SOME PARKING.

BUT I'VE NEVER SEEN THAT PARKING LOT FULL.

SO THERE'S SOME COMMON SENSE THINGS WE COULD DO INSTEAD OF, I'M THINKING ABOUT YOU COULD PUT GEOGRID IN AND DO A GREEN PARKING

[00:25:01]

LOT THAT'S GONNA REDUCE THE HEAT SIGNATURE AND SOAK THAT WATER IN AS OPPOSED TO, HEY, I'VE JUST BUILT A TACO BELL AND NOW I'VE GOTTA PUT A SAME SIZE FOOTPRINT, DRAINAGE COLLECTION FACILITY ON THE SITE RATHER THAN LETTING IT JUST ABSORB THROUGH.

SO THE IDEA IS THAT WE TRY AND MAKE THE PROJECTS MORE SUSTAINABLE AND GET RID OF THIS NOTION THAT WE HAVE TO STACK WATER IN THESE BIG PONDS RIGHT NEXT TO SOMETHING.

AND INSTEAD THAT COULD BE USED FOR SOMETHING ELSE IF EVERYBODY'S USING THESE SAME DESIGNS.

SO I DON'T KNOW WHETHER THAT MAKES SENSE IN THE LONG RUN, BUT HAS THAT RULE EVER BEEN CHALLENGED BY ANYBODY THAT YOU HAD TO HAVE RETENTION ANYWAY? WE'VE WE'VE TALKED ABOUT IT.

BUT YOU'RE GONNA OH, GO AHEAD.

GO AHEAD.

THE, THE REALITY IS, IS THE VDD HAS ULTIMATE AUTHORITY OVER THE DRAINAGE.

AND THEY GET TO BASICALLY TELL US, LIKE THEY QUESTIONED ROAD STAR COMING IN.

AND MY ARGUMENT TO THEM WAS, IS YOU, THERE'S BEEN CONCRETE THERE FOR 50 YEARS PERMIT.

YEAH.

IF YOU'RE NOT CHANGING AREA, WHY WOULD I HAVE TO PUT IT? AND THEY AGREED FINALLY.

BUT THEY, THEY ARE TO THAT POINT WHERE THEY'RE LOOKING AT THESE KIND OF THINGS.

AND MY THOUGHT IS, IS IF WE CAN SAY, HEY, WE'RE TAKING PROACTIVE STEPS TO TRY AND STOP THE WATER, SLOW THE WATER DOWN, RATHER THAN HAVING DETENTION ON EVERY SINGLE SITE, IT'S GONNA MAKE ALL THE WORLD A DIFFERENCE AND CREATE MORE SPACE FOR US TO BE ABLE TO DEVELOP.

BECAUSE AT THE END OF THE DAY, WE'RE DOWN TO MEASURING DEVELOPABLE LOTS IN SQUARE FEET, NOT SQUARE YARDS OR ACRES.

AND SO IF WE'RE GONNA BUILD AN INFILL, WE NEED TO GET, BE ABLE TO GARNER AS MUCH LAND AS WE CAN.

SO, UM, DOES VELASCO DRAINAGE COME INTO PLAY WHEN THAT'S DUMP STRAIGHT INTO THE STATE? DOES THE STATE HAVE AN ISSUE WITH ANYTHING? THE, WELL, THE STATE, UH, WE'RE ACTUALLY TALKING TO THE STATE ABOUT A SEPARATE PROJECT ON THAT AREA.

THE STATE MADE THE BOLD, UH, ADMISSION THAT THEY REALLY DON'T TAKE INTO ACCOUNT ANY NEW THINGS COMING IN THAT AREA BECAUSE OF THE EXISTING BUSINESSES THAT WERE THERE.

UH, BUT THEN THEY TURNED AROUND AND TALKED ABOUT WANTING TO TAKE THE OLD ERBE SITE AND USE IT AS DETENTION.

AND I WAS LIKE, NO, PLEASE .

SO, UH, THEY DON'T CARE ABOUT THAT, THE ROAD STAR SITE, BUT THEY DO CARE ABOUT NEW DEVELOPMENT COMING ON AND MITIGATING BY THE BANK.

THAT RIDICULOUS HOW THEY LIKELY DOING THAT.

SO MUCH DROPS PER MINUTE CODE COME INTO THE SYSTEM.

YEAH.

AND THEN THE REALITY IS, IS THEIR DITCHES CAN'T HANDLE WHAT THEY, WHAT THEY WANT.

AND THEN TCQ ABROGATED, THE, I'M FRUSTRATED WITH T DOT AND TCQ IN THAT REGARD, UH, AND VDD AND THAT'S WHY I WANNA GET US TO A PLACE WHERE WE CAN BASICALLY SAY, LISTEN, WE'RE MITIGATING 30, 20 TO 30% OF THE FLOW OFF OF THIS PROPERTY BY KEEPING IT ON THE PROPERTY.

AND THESE SWELLS FOR A LIMITED PERIOD OF TIME, THEY'RE COMING OUT SLOWER.

THEY'RE NOT GETTING TO THE DITCHES.

WE DON'T NEED TO HAVE A POND SET ASIDE AND LOSE A HALF ACRE TO BE ABLE TO DO THAT.

SO WE'RE ALREADY MOSQUITO CAPITAL MORE PONDS.

YEAH, I KNOW.

YEAH, EXACTLY.

WELL, I MEAN, YOU, YOU MIGHT STILL GET SOME MORE MOSQUITOES OUT OF THIS, BUT I THINK IT'S MUCH, IT'S GONNA BE EASIER TO EASIER ON THE EYE AND FOR OUR PURPOSES, IT'S GONNA TAKE IT, IT'S GONNA ASSIST US WHEN WE'RE TRYING TO SLOW THE WATER GETTING INTO OUR SYSTEM.

'CAUSE RIGHT NOW, IF YOU LOOK AT THAT AREA, I'VE GOTTEN TO LEARN THAT AREA BETWEEN PLANTATION, DIXIE, FLAG LAKE WAY TOO.

WELL, AS WE'VE WORKED ON THIS ASME PROJECT, THAT WATER STACKS FROM FOUR DIRECTIONS.

SO THERE'S NO WAY IT'S EVER GONNA GET OUTTA THERE UNLESS WE START SLOWING SOME OF THOSE FLOWS DOWN.

AND UNLESS WE START INCREASING THOSE, THE CAPACITY WITHIN THE PIPES DOWNSTREAM.

AND SO THAT'S, WE'RE CONSTANTLY FIGHTING WITH AN ENGINEERING FIRM THAT WON'T BE NAMED, UH, ABOUT MAYBE LOOKING AT OTHER WAYS TO MOVE THAT WATER OUT OF THERE, BUT ALSO TO SLOW IT COMING OFF THESE PROPERTIES.

SO, UM, AND THEN SO IF YOU LOOK AT EACH ONE OF THESE, UH, WE'VE TRIED TO TAILOR THEM TO THE ACTUAL GRANT TYPE THAT THEY ARE.

SO WHEN WE TALK ABOUT THE FACADE, THE PAINTING, UH, THE RENOVATION, UH, THEY TALK ABOUT THE LONG LASTING THINGS AND THEN DOING SOMETHING HOPEFULLY A LITTLE BIT DIFFERENT OR SOMETHING THAT IS GONNA BE AESTHETICALLY PLEASING AND NOT NECESSARILY WHAT YOU SEE EVERYWHERE YOU GO.

ONE OF THE THINGS THAT WE WANNA BE IS, IS UNIQUE.

UH, PEOPLE COME TO DEL TORO FOR A REASON.

THEY GO TO ACLS FOR A REASON.

THEY LIKE THE DIFFERENT, THEY LIKE THE DESTINATION TYPE THING.

AND THAT'S WHAT WE WANT TO TRY AND DO, UH, AND DEVELOP MORE FOR THESE MOM AND POPS.

SO IF YOU SEE THAT THERE'S A BONUS HERE.

IF YOU HAVE FEWER THAN 20 EMPLOYEES, WHICH WOULD TELL US YOU'RE A MOM AND POP STARTUP, THAT'S WHERE I THINK WE NEED TO TALK ABOUT.

DO WE WANT TO TELL BUSINESSES LARGER THAT HEY, WE NEED TO NEGOTIATE A THREE 80 AGREEMENT OR HEY, WE'RE GONNA CREATE A SEPARATE CATEGORY FOR THEM SEPARATE AND APART.

UH, 'CAUSE MOST OF THE INVESTMENT THAT WE'RE SEEING RIGHT NOW IS 20 AND BELOW JULIA'S RESO, UH, UH,

[00:30:01]

KFC EVEN IS FEWER THAN 20.

BUT THOSE ARE SMALLER MOM AND POP BUSINESSES THAT NEED THE HAND, NOT NECESSARILY A CHAIN.

SO YEAH.

UH, SOME OF THESE SAY MATCHING GRANTS AND SOME OF THEM THAT ARE YEAH.

UH, I MEAN WE'RE JUST SAYING THAT, THAT WE'RE GONNA COVER THE FIRST 6,000 ON SOME OF THESE NO, NO, NO, NO, NO.

IT SHOULD BE ALL BE IT SHOULD ALL BE MATCHING IF, AND THAT MAY BE WHERE I MISSED IT WHEN DEALING WITH YEAH.

BECAUSE THESE ARE, I, LANDSCAPE IS MATCHING.

PAINTING IS NOT, SCIENCE IS NOT FIXING IS YEAH, I'LL GO BACK AND PARKING IS NOT, YEAH.

SO IT'S MATCHING UP TO THE 50% OF 6,000.

SO THE MAXIMUM WOULD BE 3000, CORRECT? NO, NO, NO, NO, NO.

WE WOULD GO UP TO 6,000 IF THEY OKAY.

IF THEY SPENT 12,000, WE WOULD GIVE UP TO 50% OR $6,000.

WHICH YOUR TYPICAL SIGN RIGHT NOW IS RUNNING A LITTLE BIT MORE THAN THAT.

WE'RE LOOKING, I KNOW WHEN THEY DID THE RESALE SHOP YEAH.

THEY SPEND, IF THEY SPEND $20,000 IN PAINT, WE'RE GONNA PAY SIX.

RIGHT.

I'LL GO BACK AND REVISE THOSE.

SO I'LL, IT'S CLEAR THAT EVERYTHING'S MATCHING.

AND SO, UH, I MEAN BECAUSE THEY ALL USED TO, IT ALL USED TO BE MATCHING FUNDS UP TO RIGHT.

AND THAT'S STILL THE CASE.

I WAS GONNA SAY, YEAH, EVERYTHING THE FIRST FIVE AND SET EVERYTHING EXCEPT SIX SAYS IT'S UP OR LIMITED OR DE LIMITED.

UH, SIX DOESN'T SAY THAT, BUT WE CAN, WE CAN TRY AND CHANGE THAT.

NOW THE ONLY ONE THAT'S DIFFERENT IS THE ONLINE BUSINESS, CORRECT? YEAH, THE ONLINE BUSINESS IS A, IS A NEW CATEGORY.

UH, IT'S A NEW APPLICATION PROCESS.

UH, THAT ONE IS, WE WOULD PROVIDE UP TO $2,500 TO GET THEM ONLINE.

SO IF YOU THINK ABOUT LIKE, UM, PAPA DOGS, THEY'RE PRETTY GREAT ABOUT BEING ON SOCIAL MEDIA, BUT IF WE COULD HAVE A PORTAL WHERE YOU GO AND ORDER DIRECTLY THROUGH THEM AND THEN THEY SEND THE, THE FOOD DIRECTLY TO YOU AND THEY'RE NOT HAVING TO DEAL WITH THIRD PARTY, UH, THAT'S A SAVINGS OR WHEN JULIA'S COMES OR WHAT, WHATEVER SMALL BUSINESS YOU CAN THINK OF.

WE HAVE A LOT OF HOME BREW BUSINESSES HERE THAT DO CONSULTING, THAT DO OTHER THINGS.

MAY NOT BE THINGS THAT WE THINK ABOUT.

I KNOW WE'VE GOT TWO GUNSMITHS IN TOWN THAT OPERATE.

THEY COULD PUT THE, SELL THEIR WARES ONLINE AND BE A A VENDOR AND WE COULD COLLECT SALES TAX OFF OF THAT.

MOST FOLKS DON'T KNOW THEY'RE OUT THERE 'CAUSE THEY'RE NOT.

YOU HEAR ABOUT 'EM THROUGH WORD OF MOUTH, YOU'RE NOT HEARING ABOUT 'EM ONLINE.

AND SO THIS IS TO HELP FOLKS GET ONLINE, GET THAT E-BUSINESS GOING.

UH, AND THEN ONE OF THE THINGS, AND I WAS TALKING WITH E UH, ERIC AGUILAR, THIS WAS HIS BRAINCHILD TO START THIS GRANT UP.

HE WORKS FOR GOOGLE NOW.

AND ONE OF THE THINGS WE WERE TALKING ABOUT IN THE OLD DAYS, WE TALKED ABOUT SEO AND SEARCH ENGINE OPTIMIZATION.

AND THAT WAS WHERE YOU PUT CERTAIN TAGS IN YOUR CODE AND YOU POP YOU TO THE TOP.

AND HE SAID, THAT'S GONNA BE IN THE PAST.

AND INSTEAD WHAT THEY'RE GONNA LOOK FOR IS AI TAGS AND A FLUID MARKETING, A FLUID LANGUAGE IN THE WEBPAGE THAT UPDATES IN REAL TIME TO THE AI IS CONSTANTLY GONNA BE CHANGING THE NUMBER TO KEEP YOU AHEAD OF THE ALGORITHM.

SO YOU STILL JUST KEEP POPPING TO THE TOP.

SO, BUT THIS WOULD HELP DEVELOP THAT CAPACITY FOR LOCAL BUSINESSES.

THAT WOULD BE, YOU KNOW, LIKE, I MEAN THAT WOULD, ACCORDING TO THE BUDGET, THAT'S 10, 10 GRAND OF ALL THAT.

YEAH.

THAT AMOUNT FOR NOW.

YES, SIR.

OKAY.

USUALLY WHENEVER I GET THESE THINGS FROM CJ I'LL LOOK AT IT EARLY AND THEN I'LL TALK TO HIM.

BUT I'M LATE IN THIS INSTANCE, SO I LOOK THROUGH IT AND I HAVE SOME CHANGES THAT I HADN'T DISCUSSED.

SO I JUST WANNA POINT OUT, UM, UH, NUMBER ONE ON THE, THE FENCING AND PARKING IN THE APPLICATION IT SAYS, EXPLAIN HOW IT THESE CHANGES WILL IMPROVE YOUR FACADE.

AND OBVIOUSLY THEY'RE NOT FACADE.

SO WE NEED TO CHANGE THAT LANGUAGE A LITTLE BIT OF, YOU KNOW, WHY YOU NEED THE FENCING OR THE FUNCTION OF THE FENCING OR THE PARKING OR AN EXPLANATION OF THE, OF THE BENEFIT.

UM, UH, IT HAS IN THERE THAT YOU GET 15, 15 POINTS IN THE SCORING.

IF YOU HAVE A SALES TAX CERTIFICATE, I'D RECOMMEND THAT IT'S A MINIMUM REQUIREMENT.

YOU JUST HAVE TO HAVE THE SALES TAX AS A REQUIREMENT TO GET A GRANT IF YOU'RE DOING RETAIL SALES, IF, IF YOU'RE DOING RETAIL SALES.

RIGHT.

BUT THE PROBLEM IS, IS WE HAVE BUSINESSES WHO AREN'T DOING RETAIL SALES.

WE HAVE WHOLESALERS THAT HAVE RECEIVED GRANTS.

WE HAVE BUSINESSES THAT PROVIDE SERVICES OR GOODS.

OKAY.

SO YOU'RE SAYING WE WANT TO GIVE PREFERENCE 15 POINT PREFERENCE TO PEOPLE THAT DO HAVE RETAIL SALES? CORRECT.

OKAY.

ALL RIGHT.

THAT MAKES SENSE.

UM, I, OKAY.

UH, IN ORDER FOR US TO DO A GRANT UNDER LAW, WE HAVE TO HAVE SOME SORT OF PERFORMANCE AGREEMENT, SOME SORT OF REQUIREMENT THAT THEY HAVE TO FULFILL.

AND THAT CAN EITHER BE JOB

[00:35:01]

CREATION, UM, OR MINIMUM INVESTMENT, WHICH THE, THE MATCHING MIGHT YOU BE CONSIDERED THE MINIMUM INVESTMENT.

BUT, UH, I'VE SEEN WHERE YOU RUN INTO, I GUESS SOME UNHAPPINESS WHERE THE TENANT, LET'S SAY THE TENANT, THE BUILDING NEEDS A NEW AC OR NEEDS SOME SOMETHING FIXED.

RIGHT? AND, UM, AND SO THEY COME AND GET THE GRANT AND IT REALLY BENEFITS THE, THE BUILDING, THE LANDLORD, NOT NECESSARILY THE TENANT, THE BUSINESS.

AND THEN, YOU KNOW, IT'S A NEW, NEW BUSINESS, THEY'RE STRUGGLING, THEY DON'T PAY THE RENT, THEY GET EVICTED.

AND THEN THE LANDLORD, 'CAUSE ESPECIALLY BIG LANDLORDS, THEY'RE, THEY DON'T CARE IF A, IF A SPOT IS VACANT FOR A LONG TIME BECAUSE THEY HAVE LOTS OF PROPERTIES, YOU KNOW, THESE BIG DEVELOPERS OR WHATEVER AND BIG, BIG LANDLORDS IN THE BIG SHOPPING CENTERS.

AND SO YOU JUST IMPROVE THEIR, THEIR BUILDING AND ALLOW THEM TO LIKE CHARGE A LOT MORE RENT.

BUT ACTUALLY IT DISCOURAGES A BUSINESS.

SO THE BUSINESS THAT YOU WERE TRYING TO HELP ACTUALLY WENT OUTTA BUSINESS AND YOU JUST INVESTED A LOT OF MONEY FOR THEM.

RIGHT.

AND SO, UM, ONE WAY TO, UH, TO GET AROUND THAT IS AS AN INCENTIVE IS SAY, OKAY, BUSINESS, SMALL BUSINESS, WE'RE DOING THIS AS AN INCENTIVE TO HELP YOU STAY IN BUSINESS AND HELP YOU BE SUCCESSFUL.

SO THAT IS ONE OF THE REQUIREMENTS IS IF YOU GET THIS GRANT MONEY, YOU'VE GOTTA STAY IN BUSINESS FOR AT LEAST THE NEXT 12 MONTHS OR HAVE SOME REQUIREMENT THAT IF THEY DON'T OPERATE WITHIN 12 MONTHS, EITHER THEM OR THE OR THE LANDLORD HAS TO REPAY THE GRANT BECAUSE WE'RE DOING THIS TO ENCOURAGE BUSINESS AND WE DON'T WANT THEM TO SHUT DOWN.

AND THEN IT JUST SITS THERE IDLE AND WE JUST INVESTED MONEY AND IT'S, NOTHING'S HAPPENED.

SO, UH, AND I DON'T KNOW HOW Y'ALL FEEL ABOUT THAT, BUT THE, WE'VE DONE IT BEFORE WHERE THERE'S A REQUIREMENT THAT THE LANDLORD AND OR THE TENANT, IF THAT BUSINESS DOESN'T STAY IN BUSINESS FOR 12 MONTHS AND IT SHUTS DOWN, THEN THEY'VE GOTTA REPAY THE GRANT THAT WE GAVE TO THEM.

RIGHT.

SO THAT, THAT, YOU KNOW, GIVES SOME SORT OF INCENTIVE THAT, UH, IT REALLY IS ENCOURAGING BUSINESS AND IT ENCOURAGES THE LANDLORD TOO, TO WORK WITH THE TENANT.

LIKE IF THEY HAVE COVID OR SOMETHING LIKE THAT TO HELP KEEP 'EM IN THE, TO THEM GOING IN BUSINESS.

'CAUSE THEN POSSIBLY THE LANDLORD HAS TO PAY THAT MONEY BACK 'CAUSE HE'D BEEN AT HIS, BEEN, HIS BUILDING BENEFITED FROM IT.

RIGHT.

SO, UM, THAT'S JUST A SUGGESTION AS FAR AS A PERFORMANCE.

UM, BUT LIKE I SAID, UN LEGALLY YOU'RE REQUIRED TO HAVE SOME SORT OF PERFORMANCE REQUIREMENT IN EXCHANGE FOR GETTING A GRANT.

RIGHT? UM, WELL, I MEAN BASICALLY, BASICALLY THESE GRANTS ARE FOR PARKING LOT PAINTING, UH, FACADE.

MM-HMM.

, I MEAN THERE'S, THERE'S, THEY CAN'T USE THE GRANTS TO PUT UP AND PUT IN AN AIR CONDITIONER.

RIGHT? RIGHT, RIGHT, RIGHT.

THAT WAS JUST AN EXAM SPECIFIC EXAMPLE THAT HAPPENED IN THE PAST.

RIGHT.

BUT IF YOU'RE, IF YOU'RE INVESTING TO IMPROVE THE PROPERTY, RIGHT.

ESPECIALLY WHEN YOU HAVE SOME DYNAMIC BETWEEN THE LANDLORD AND THE, AND THE TENANT.

WELL, I MEAN IF SOMEBODY PAINTS IT DOES A, A PARKING LOT IMPROVEMENT, DOES A FACADE IMPROVEMENT OR WHATEVER, IT DOESN'T DO ANYTHING BUT MAKE THE CITY BETTER.

RIGHT? SO I MEAN, IT ENHANCES THAT BAD AS LONG AS THEY, AS LONG, AS LONG AS THEY CAN'T USE IT FOR PUTTING IN NEW LIGHT FIXTURES OR REPLUMBING THE BATHROOMS OR SOMETHING LIKE THAT.

I DON'T SEE THAT IT, I DON'T SEE THAT IT WELL YOU THERE, I THINK THERE'S, THAT IS A, A DEAL BREAKER.

I THINK THERE'S VALUE THERE.

I THINK, UM, THEIR INVESTMENT ALONE AND THE INCREASE IN THE PERCEIVED INCREASE IN THE VALUE, I THINK IS A NET PERFORMANCE.

BUT I SEE WHERE MR. DUNCAN'S SAYING, UH, WHAT WE'VE TIED OUR THREE 80 AGREEMENTS TO IS INCREMENTAL GROWTH ABOVE A BASELINE IN VALUE FOR SALES TAX AND PROPERTY TAX.

I DON'T KNOW THAT WE WANNA GET THAT MACRO OR MICRO HERE.

YEAH.

'CAUSE IT'S SMALLER DOLLAR FIGURES.

IT'S SMALLER DOLLAR FIGURES.

SO ARE YOU SUGGESTING THAT WE SAY, UH, A 12 MONTH BEFORE THEY'VE GOT, 'CAUSE RIGHT NOW WE'VE GOT SIX MONTHS.

YOU'VE GOT SIX MONTHS ONCE YOU'RE AWARDED THE GRANT TO GET THE WORK DONE AND TURNED IN.

RIGHT? UH, OUR THOUGHT WAS, AND I THOUGHT WE HAD INCLUDED THAT IN HERE, BUT I DIDN'T SEE THAT LANGUAGE.

SO WE COULD ADD THAT YOU GET SIX MONTHS TO PERFORM AND THEN ARE YOU SAYING 12 MONTHS AFTER THAT YOU STILL HAVE TO BE SOLVENT OR I I, IT, I MEAN Y'ALL DON'T HAVE TO AGREE 'CAUSE BECAUSE LEGALLY THEIR PERCENTAGE INVESTMENT WOULD BE SUFFICIENT.

RIGHT.

SO THAT COULD BE A PART OF THE PERFORMANCE AGREEMENT THAT THEY'VE GOT INVEST A CERTAIN AMOUNT IN THE PROJECT ALSO.

RIGHT.

SO LEGALLY WOULD STILL WORK.

I'M JUST SAYING THAT, UH, THAT'S, YOU KNOW, SOMETHING I'VE SEEN THE REQUIREMENT FOR GRANTS THAT LIKE, HEY, WE'RE GIVING YOU THE MONEY, UH, BUT YOU NEED TO STAY IN BUSINESS OR YOU HAVE TO PAY THE GRANT MONEY BACK.

NO, I THINK A CLAWBACK IS PROBABLY PRETTY REASONABLE.

UM, AND WE CAN PUT THAT LANGUAGE IN THERE TOO, IF YOU'D LIKE.

SO, BUT IT'S, YEAH, IF THE BOARD, IF IF THAT'S WHAT THE BOARD WANTS TO DO, IT'S, YOU KNOW, UP TO THEM.

YEAH.

I I DON'T HAVE A PROBLEM WITH THAT.

YOU KNOW, AGAIN, LIKE YOU SAY, EITHER WAY, YOU KNOW, EVEN IF THEY DO THE, THE CITY'S STILL GOT THE VALUE 'CAUSE THE BUILDING

[00:40:01]

ITSELF WAS UPDATED.

BUT IF YOU WANT TO KIND OF SHOW THAT YOU ARE, YOUR ATTENTION HERE IS, YOU KNOW, TO BENEFIT BUSINESS THEN THAT, THAT'S A FAIR REQUIREMENT.

WELL, I MEAN SOMETHING, YOU KNOW, THE, THE THING THAT YOU'RE LOOKING AT THERE IS SOMEBODY MAY HAVE THE BEST INTENTIONS IN THE WORLD, YOU KNOW, BUT WHAT HAPPENS IF THEY GET SICK AND THEY CAN'T RUN THEIR BUSINESS? RIGHT.

YEAH.

OR WE GET HIT BY A MAJOR ON THE OTHER HAND.

OR THEY HA OR THEIR PARENTS DIED, THEY HAVE TO GO TAKE CARE OF SOMETHING.

WE MIGHT WELL JUST SAYING THAT THOUGH, BUT I COULD SEE IT'S NOT A MIDDLE GROUND.

BUT THAT REQUIREMENT MAKES A HECK OF A LOT OF SENSE ON A SIGNAGE GRANT.

ON A WHAT? ON A SIGNAGE GRANT.

WELL, YEAH, I MEAN, YOU KNOW, BECAUSE THAT, YEAH.

I MEAN, I, I IF, IF IF, YOU KNOW YEAH, IF YOU PUT UP A SIGN THAT SAYS JOE BLOW'S A FISH SHOP OR WHATEVER AND YOU JOE BLOW LEES IN THREE MONTHS MM-HMM.

AND BETTY COMES IN, BETTY, I CAN SEE THAT SIGN DIDN'T DO ANYBODY.

I COULD SEE SOMETHING ON A, ON A SIGNAGE GRANT, YOU KNOW, THAT, THAT, HEY, YOU KNOW, WE EXPECT YOU TO STAY IN BUSINESS FOR A WHILE UNDER THAT.

WELL, ESPECIALLY 'CAUSE WE'RE KIND OF DOING THAT NOW IN A WAY WITH ONE OF THAT LAST GRANTS, YOU KNOW? YEAH.

WELL AND IT'S DIFFERENT, YOU KNOW, YOU KNOW THE, THE EXPERIENCES I HAD WERE KIND OF SOME DIFFERENT, DIFFERENT TYPES OF CONSTRUCTION THINGS.

BUT WE HAD ONE WHERE A BUSINESS WAS FINISHING OUT RENTAL SPACE AND, UH, THE EDC GAVE A LOT OF MONEY AND THEY JUST NEVER DID FINISH DOING THE FINISHING OUT.

AND THEY JUST NEVER EVEN WENT INTO BUSINESS.

THEY CHANGED THEIR MIND.

RIGHT.

WE HAD ONE WHERE THEY GOT A GRANT AND THEY WORKED OUT A DEAL WITH THE LANDLORD TO LIKE, RENT TWO SPACES AND THEY DID AN IMPROVEMENT TO ONE SPACE AND THEY NEVER EVEN OPENED A BUSINESS IN THAT SPACE.

AND THEY SAID, OH WELL WE'RE RUNNING OUTTA THE INTERNET AND WE HAD TO SIGN ON THE BUILDING AND THAT'S ALL WE HAD TO DO.

'CAUSE Y'ALL WEREN'T SPECIFIC SAYING, YOU KNOW, IT'S ALL, YOU KNOW, THERE ARE WAYS THAT PEOPLE YEAH.

CAN DO BAD THINGS.

IF YOU DON'T HAVE A BUSINESS, YOU GOTTA PAY IT BACK UNTIL IT'S COMPLETED.

YOU KNOW, THAT'S LESS, YOU KNOW, THAT'S NOT OF CONCERN.

SO DO YOU WANT TO GO BACK, BECAUSE I KNOW THERE'S SEVERAL THINGS THAT WERE DISCUSSED HERE.

YES.

THERE'S REALLY NOT A REASON TO APPROVE THIS IF WE'RE GOING TO NO.

IF WE MAKE THOSE CHANGES.

SO WE'LL CONTINUE TO HOLD AND GET, HOPEFULLY GET EVERYBODY BACK TOGETHER SOON TO OKAY.

ONCE WE'VE GOT THE FINAL CHANGES AND I'LL ME TO EMAIL THOSE OUT, UH, AS SOON AS WE GET 'EM DONE.

OKAY.

[IV. CLOSED EXECUTIVE SESSION - 551.072 ]
